ARTIST - MANAGER Agreement

1 - Scope

 

• The ARTIST entrusts the MANAGER with the management of the ARTIST’s professional activities and interests within the whole of the entertainment industries.

 

• The MANAGER shall therefor be responsible for representing the ARTIST in any action, decision and negotiation relating to the ARTIST’s professional career.

 

 

2 – Exclusivity

 

• The MANAGER shall be the ARTIST’s exclusive manager.

 

 

3 - Term and Territory

 

• The term of this agreement shall be for a fix period of four years.

 

• This initial period can be extended, provided that a new contract is signed between the Parties after new negotiations have taken place.

 

• The contract covers, on an exclusive basis, the following territory: Worldwide

 

 

4 – Manager’s Responsibilities

 

The MANAGER agrees to:

 

• Promote and further the artist’s career.

 

• Seek opportunities to exploit the artist’s activities and the related products.

 

• Work actively to help secure mainly but not limited to record and publishing deals

 

• Ensure that payments are collected, and represent and negotiate for the artist relating to any third parties or third party contracts.

 

 

5 – Artist’s Responsibilities

 

The ARTIST must facilitate the work of the MANAGER. More specifically, the ARTIST shall:

 

• Keep the MANAGER informed of all proposals of professional nature made to the ARTIST.

 

• Carry out to the best of his ability and in a punctual and sober manner all agreements, engagements, performances and promotional activities obtained by the MANAGER.

 

 

6 – Manager’s Commission

 

• The MANAGER will receive, on a monthly basis, a 20% gross commission on all of ARTIST’s earnings.

 

• The MANAGER is also able to reclaim agreed expenses incurred while carrying out his duties as manager.

 

• Following the end of the term of this agreement, the MANAGER shall only receive his commission on deals signed during the term of this agreement.

 

 

7 – Accounting

 

• The MANAGER will manage all amounts payable to the MANAGER and the ARTIST and shall render a monthly report of account along with payment as soon as possible after each of the ARTIST’s performances, including other receipt of funds by the MANAGER on behalf of the ARTIST.

 

• The MANAGER agrees to maintain accurate books and records of all transactions concerning the ARTIST. These books and records may be inspected or audited during regular business hours by the ARTIST within reasonable notice to the MANAGER.

 

 

8 – Termination

 

• The ARTIST shall be entitled to terminate this agreement at any time upon the MANAGER's breach of any of the Manager's responsibilities and/or above clauses.

 

• The ARTIST shall have the option to terminate the contract if the MANAGER has not scored, within three years of signing this contract, one of the following deals for the ARTIST: a recording agreement with a major label or with an independent label distributed by a major distribution company, or a major publishing deal.

 

• In the event that the ARTIST fails to fulfil any of his responsibilities mentioned here above, or any of the above clauses which may concern him, the MANAGER shall have the right, upon written notice to the ARTIST at any time prior to expiration of the term or renewal, to terminate this agreement as of a date thirty days after the Artist receives the notice.

 

 

9 - Miscellaneous

 

• The ARTIST authorizes the MANAGER, during the period of this contract, to use the ARTIST’s name and photos (upon agreement of the ARTIST concerning the choice of photographs) for any and all promotional activities.

 

• The law of the country in which it was signed shall govern this contract.
